Archer & Angel’s corporate attorneys have extensive experience in advising both domestic and foreign corporations on corporate and commercial issues, ranging from foreign investment and exchange control regulations applicable in India including regulatory approvals, structuring foreign investments into India and domestic investments overseas, incorporation of companies, joint ventures, mergers and acquisitions including extensive due diligence on target companies, corporate governance and director’s liabilities, corporate compliance issues and preparation and advise on transaction documents.

Our team is also actively involved in advising foreign companies on entry strategies and also negotiating joint ventures, distribution/franchising/agency arrangements and related regulatory approvals required for foreign company to do business in India. All other types of commercial arrangements have been covered by our team including manufacturing contracts, sub contract arrangements, licensing, vendor/supplier contracts, insurance etc.

Some of our recent work includes:

  • Represented a special purpose vehicle set-up by Government of India in joint venture with Andhra Pradesh Government which provides solutions for all mode of urban transport systems in India. Prepared all legal documentation for first of its kind concept for implementation of mass transit system in various Class B cities of the country, including tender documents and project agreements.
  • Acted as counsel for world’s largest developer of enterprise software products in a US$ 150 million acquisition of a company involved in drug safety and risk management solution for health sciences industry, including due diligence, review and negotiation of purchase agreement and advise on transfer of control issues.
  • Advised one of the world’s leading of mobile workforce management and service optimization solutions on the asset purchase of an Indian company, including due diligence, preparation and negotiation of slump sale agreement and advise on escrow property documents etc.
  • Advised a world leading company involved in design and development of knowledge based processes on a merger with leading provider of multi-core, multi-threaded processors.
  • Advised a global provider of high-density system-on-chip memory intellectual property on the acquisition of assets and business of a leading provider of high data rate parallel and serial interface intellectual property, including Indian operations
  • Acted as Indian counsel for large and reputed technology multinational with headquarters in USA acquiring another multinational with a large R & D centre in India, as part of a global merger worth US$ 323 million.
  • Acted as counsel for a multinational which is the leading provider of email marketing software and services, with offices in Hyderabad, India being acquired by a US corporation for US$ 24 million.
  • Acted as counsel for a multinational which is the leading provider of email marketing software and services, with offices in Hyderabad, India being acquired by a US corporation for US$ 24 million.
  • Acted as counsel for a multinational which is the leading provider of email marketing software and services, with offices in Hyderabad, India being acquired by a US corporation for US$ 24 million.
  • Acted as counsel for one of the world’s largest energy service companies in a hostile acquisition of a corporation based in Orissa, India undertaking coal mining activities.
  • Advised an US corporation, one of the world’s leaders in open wireless security and management solutions on possible acquisition of Indian corporation based in Ahmedabad, India including due diligence, structuring of transaction, real estate, company law and tax issues.
  • Advised, structured and prepared transaction documents for establishment of Overseas Indian Facilitation Centre for Confederation of Indian Industry and Ministry of Overseas Indian Affairs, Government of India.
  • Acting for one of the largest e-publishing companies in USA on establishment of a subsidiary in India, acquisition of another Indian company including due diligence, advise on regulatory approvals, contractual documentation and registration and compliance with the Software Technology Parks of India scheme of the Government of India.
  • Advised the developer of India’s first toll road between New Delhi and NOIDA, U.P, including due diligence on land, advise on land acquisition and rehabilitation packages, project documents, preparation of agreements with service and utility providers, and assisting with Government approvals and registrations.
  • Transfer of a division of one of India’s largest mapping and consultancy companies to a third party, which included preparation and negotiation of Acquisition Agreement, advise on transfer of employees, assets and liabilities and existing consultancy contracts along with rights and duties under those contracts. Acting for one of the world’s largest cigarette manufacturers on restructuring their business in India, including obtaining Government approvals for increasing foreign investments, advise on labor, bankruptcy and company laws. Acted as counsel for buyers (US technology company) acquiring a large software development centre in Pune, India including due diligence, preparation and negotiation of transaction documents.
  • Advised one of Asia’s largest property management consultants on their investments into India, structuring of their business models, preparation of master vendor agreements etc.
  • Acted for a group of US medical professionals in an arrangement with a company in India for business process outsourcing, including preparation and negotiation of outsourcing agreement, ensuring compliance with HIPAA regulations etc.
  • Advising the developer of one of India’s largest super specialty hospitals on due diligence, preparation of all project documentation including tender documents, agreements with contractors, project manager, consultants and service providers etc.
  • Advised one of Asia’s largest property management consultants on their investments into India, structuring of their business models, preparation of master vendor agreements etc.
  • Acted for a large Indian business group in a complex joint venture with a French multinational also involving land transfers, production and sales agreement, technology transfer, utilities services agreement, structuring of loans to fund the joint venture and advise on structuring of shareholding for issuance of shares for consideration other than cash.
  • Advised one of the largest business houses in India on the restructuring of 3 of its group entities, including conversion from a partnership to a corporate entity, transfer of assets and employees, tax related advise.
  • Advised one of world’s leading radio broadcasters on entry strategies into India, Government regulations for acquiring licences and proposed acquisition of Indian company as well as prosecution of intellectual property rights.
  • Advising an Indian developer, presently constructing one of the largest convention centre and exhibition facilities in South India, on all project related contracts and Government approvals/ regulations.
  • Advising one of the world’s largest project management companies on issues varying from entry strategy in India to exchange control regulations for remittance of royalties received for consultancy and project management. Acting for one of the world’s largest insurance companies on entry strategies into the non-life sector, Government regulations for obtaining licences, third party service providers and legal support for claims handling.
  • Advising one of the largest Asian developers on their India operations including development and management of IT parks, colocation facilities, building laws and securing government approvals.
  • Advised one of Europe’s largest Infrastructure companies on their India operations including advice on project documents and issues relating to acquisition of Indian companies.
  • Advised one of Europe’s largest civil engineering companies on investments into India, on issues relating to government contracts, joint venture with Indian counterparts and technology transfer.
  • Acting as a counsel for one of the largest private investment companies in US for acquiring another company leader in online solutions for credit and collections with a subsidiary in India, including due diligence, preparation and negotiation of transaction documents.
