Archer & Angel’s corporate and commercial law team has advised several multinationals on mergers and acquisitions. Our M & A practice covers both domestic and cross-borders transactions and ranges from the large multi-million dollar deals to the relatively small acquisitions. Out strength across several practice areas allows us to advice on every stage of a merger/ acquisition. Our team is involved from the stage of due diligence to preparation of transaction documents, including merger agreements, escrow documents and ends with post-merger / acquisition integration. For cross border transactions involving purchase of Indian entities, we advise on compliance status of the Indian entity, purchase of shares and related foreign exchange regulations, employee transfers post-merger/acquisitions and other issues of integrating businesses.

Our team has advised private entities, venture capital funds and investment companies on transactions in the technology sector, as well as those in retail, commodities, healthcare, real estate, media and manufacturing.

Some of the transactions our team has advised on are listed below:

  • Acted for one of the world’s leading technology companies dealing with server, application and desktop virtualization and cloud computing on acquisition of multiple entities, each with subsidiaries in India. Deal size ranged from US$ 40 million to US$ 323 million.
  • Advised a publicly traded company headquartered in Israel and involved in workforce management and optimization solutions on acquisition of multiple Indian entities, including due diligence, advise on acquisition documents, clean-up of various non-compliant matters of the Indian Seller and preparation of escrow documentation
  • Acted for one of India’s largest mapping companies on slump sale of division of business to a competing company, including clean-up of compliance matters prior to sale, negotiation of agreements and sale of offices. Also advised the company on subsequent acquisition of a mapping solutions company.
  • Acted for one of the world’s largest commodity trading companies in acquisition of a plant in the State of Gujarat, including advise on regulatory approvals, due diligence on land, preparation of tolling agreements and acquisition documents.
  • Advised an American multinational involved in developing and marketing computer hardware systems and enterprise software products in an acquisition of one of the leading providers of drug safety, risk management and analytics applications for the health sciences industry.
  • Advised one of the world’s largest but privately held vertical media companies having several thousand lifestyle websites and blogs on acquisition of a competing Indian company.
  • Acted for India’s largest real estate company in its acquisition of a non-banking financial company based in South India, including extensive due diligence of target company’s compliance with banking regulations and foreign exchange law compliance.
