Intellectual Property-Practice Profile
Archer & Angel’s intellectual property team advises both domestic and international businesses on a wide variety of legal issues affecting intellectual property, including drafting and negotiating agreements for protection of trade marks, brand names, domain names, copyright and designs, management of portfolios and enforcement mechanisms. We also advise on technology transfer, licensing, trade secrets, unfair competition, entertainment, computer law and franchising with a particular emphasis on cross border transactions. The IP team works closely with our transactional lawyers on the intersection of IP and corporate issues. Our attorneys have authored various articles and reports on intellectual property which have been published in leading online journals and websites.
Some of our recent work includes:
- Successfully resolved several contentious IP matters / issues with the Trademarks Registry for one of the world’s largest hotel chain. The work had multifaceted dimensions and required in depth knowledge of law and perseverance as it required regular interaction with multiple trade mark registries.
- Successfully resolved various IP issues for one of the world’s leading brand for watches and apparel.
- Successfully resolved domain disputes for one of USA’s leading broadcasting corporation. The work included interaction with domain name administrator and negotiations with the cyber squatter for a successful transfer of the domain name.
- Advised a leading US based global provider of integrated full-service and web-based video conferencing, audio conferencing, web conferencing, streaming, and event management services in analyzing its agreements with the General Electric group of companies in India.
- Advising one of the world’s largest hotel groups on various intellectual property matters, including representing the corporation in the Supreme Court of India on intellectual property litigation. Advising the company on IP protection in India, including oppositions to infringing trade marks by third parties.
- Acted as counsel for world’s largest developer of enterprise software products in a US$ 150 million acquisition of a company involved in drug safety and risk management solution for health sciences industry, including due diligence, review and negotiation of purchase agreement and advise on transfer of control issues.
- Advised one the world’s largest shoe and apparel manufacturers on licensing agreements with an Indian licensee, including structuring of transaction to maximize revenues for the licensor, regulatory approvals, IP protection and negotiation with Indian party.
- Advised a US based software development company specializing in legal industry electronic invoicing and matter management systems on structuring of its operations in India. Advise included incorporation of company, registration with software technology parks to claim income-tax exemptions, confidentiality agreements and issues relating to real estate, technology transfer and protection of trade marks and technologies.
- Advised one of the world’s leading of mobile workforce management and service optimization solutions on the asset purchase of an Indian company, including due diligence, preparation and negotiation of slump sale agreement and advise on escrow property documents etc.
- Advised on artists agreements for commercial films (both Hindi and regional language films) including 2003 release ‘Jhankaar Beats’, 2005 release ‘My Brother Nikhil’ and 2007 release ‘Bong Connection.
- Advised a US based technology company on an acquisition of an Indian company, including all acquisition related documents, due diligence on Indian company, assignment of intellectual property, closing documents and ensuring compliance with Government regulations, company law issues and all RBI regulations.
- Successfully defended a South East Asian company in a patent and trade mark infringement suit filed by an US corporation in connection with distribution of products in the Indian market.
- Advised a world leading company involved in design and development of knowledge based processes on a merger with leading provider of multi-core, multi-threaded processors.
- Act as Legal Counsel in India to one of USA’s leading providers of technical information management services, database services, prepress composition and publication development company, including structuring of investments into India, establishment of a wholly owned subsidiary, due diligence and potential acquisition of Indian companies, agreements with vendors and service providers and software development contracts.
- Advised a leading international production company on various contracts with artists composing music for a nationally televised television series, including advise on copyright issues and subsequent termination of some of the contracts.
- Advised an international computer company with connection with the outsourcing of software development from an Indian company, including preparation of software development agreements, consulting contracts and a joint marketing contract for sale of newly developed products in the US market which was connected with stock options being provided to Indian counterparts.
- Advised on the establishment of a business processing outsourcing center in North India to provide medical transcription services to European and American clientele, including advise on land and building regulations, employer obligations and employee benefits, labor regulations and corporate compliance issues.
- Advised a leading South East Asian Application Service Provider (ASP) in establishment and structuring of its Indian operations, tendering for Government contracts, and preparation and negotiation of all contracts with customers for providing eSolutions.
- Prepared and negotiated contracts with artists and Indian recording companies for an online music portal headquarted in the United Kingdom and also advised on copyright laws in India and marketing agreements with third parties for promotion and sale of its products.
- Advised one of India’s leading hospital groups on setting up of its online business which is to act as a critical support to it main business, including online payment mechanisms and review of medical history online. Advised on intellectual property issues, privacy of personal data, and contracts for data processing, security systems and human resource management.
- Advised a global provider of high-density system-on-chip memory intellectual property on the acquisition of assets and business of a leading provider of high data rate parallel and serial interface intellectual property, including Indian operations.
- Successfully represented a subsidiary of a leading US marketing information service provider in a case of breach of an e-commerce site.
