Real Estate and Construction
The firm concentrates a significant amount of its resources on the real estate and construction sector. Attorneys in the firm have worked with owners, developers, project managers, operators and contractors. The firm is presently advising clients on projects varying from development of health care centers and hospitals to convention centers, information technology parks and residential complexes. We have advised on projects all over India from Karnataka, Tamil Nadu, Haryana, Rajasthan, Maharashtra, Delhi, Uttar Pradesh, Gujarat, Andhra Pradesh etc.
Attorneys of the firm have advised on agreements in connection with development, design, establishment, construction, operation and maintenance of roads, bridges and highways. They have also advised on lease agreements and undertaken due diligence on the land, advised on land acquisition and related compensation issues, government regulations etc.
The services that the firm provides include due diligence; advice on land acquisition and related rehabilitation issues; drafting and reviewing project documents including concession agreements, design and developments, loan arrangements, lease agreements, project management and other related agreements; preparing draft project correspondence, advising on Government approvals and licenses; conducting mediations and arbitrations.
Members of the firm are authors of a report titled ‘Legal Aspects for Doing Construction Business in India’ sanctioned by the Overseas Construction Association of Japan, Inc and Japanese External Trade Organization. The report covers every aspect of the real estate and construction industry in India.
Some of our recent work includes:
- Advised one of the world’s largest commodity manufacturing and trading companies on acquisition of manufacturing unit, including land in the state of Gujarat. Work involved due diligence, sale agreements, registration with authorities, conversion of land use, obtaining all regulatory approvals for ensuring factory becomes operational etc.
- Advising one of the world’s largest food processing and manufacturing companies on various land transactions, including purchase of factory land, purchase and lease of storage and warehousing units, commercial office spaces etc.
- Advising the developer of one of India’s largest super specialty hospitals on due diligence, preparation of all project documentation including tender documents, agreements with contractors, project manager, consultants and service providers etc.
- Advised the developer of India’s first toll road between New Delhi and NOIDA, U.P, including due diligence on land, advise on land acquisition and rehabilitation packages, project documents, preparation of agreements with service and utility providers, and assisting with Government approvals and registrations.
- Advised Government of India (through Indian Railways) on project documents for grant of lease/development of land (including redevelopment of existing railway colonies) in certain locations in New Delhi.
- Advised a UK based adventure tourism company in setting-up operations in India, including drafting and negotiation of various agreements for lease and development of required infrastructure, due diligence on real estate, obtaining all required Government approvals and protection of intellectual property.
- Advising one of the largest Asian developers on their India operations including development and management of IT parks, colocation facilities, building laws and securing government approvals.
- Advising an Indian developer, presently constructing one of the largest convention centre and exhibition facility in South India, on all project related contracts.
- Advised one of Europe’s largest civil engineering companies on investments into India, on issues relating to government contracts, joint venture with Indian counterparts and technology transfer.
- Advised a large business group on its dispute with architects and project managers in connection with the development of a large health center.
- Advised a provider of outsourced work spaces on leasing of various property across India including due diligence and negotiation with property owners.
- Advised a major land owner and developer on development of residential colonies in the state of Haryana and agreements with multiple buyers.
- Advised one of Europe’s largest civil engineering companies on investments into India, on issues relating to government contracts, joint venture with Indian counterparts and technology transfer.
- Advised an East Asian township developer on regulations for foreign investment in the real estate sector including minimum development obligations, land acquisition and capitalization of companies.
- Advised a high net worth non resident Indian group on development of commercial complexes in Southern India, obtained Government approval for the investments, structured the investments into India in the most tax effective manner.
